By registering as a Ambassador with Experiana Trails, you enter into a binding agreement governed by the Indian Contract Act, 1872 and Consumer Protection Act, 2019. Please read these terms before proceeding with Ambassador registration.

1. Introduction

These Ambassador Terms & Conditions ("Terms") constitute a legally binding agreement between Experiana Trails Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office in Jaipur, Rajasthan (hereinafter referred to as "Experiana Trails", "Company", "We", "Us" or "Our") and any individual enrolling in or participating in the Experiana Trails Ambassador Program (hereinafter referred to as "Ambassador", "You" or "Participant").

The Ambassador Program is designed to reward individuals who refer genuine travellers to Experiana Trails through lawful, ethical and transparent promotion of our travel experiences.

By registering as an Ambassador, accessing the Ambassador Dashboard, sharing referral links/codes, or earning commissions, You confirm that You have read, understood, and agreed to be bound by these Terms.

2. Nature of the Ambassador Program

The Ambassador Program is a referral-based reward program.
   • Ambassadors are independent participants and not employees, agents, franchisees or partners of Experiana Trails.
   • Nothing in this agreement shall be construed as creating:
     - an employer-employee relationship,
     - a partnership,
     - a joint venture,
     - or a legal agency.
   • Ambassadors act independently and bear full responsibility for their promotional activities.

3. Eligibility

To participate as an Ambassador, you must meet the following criteria:
   • Be at least 18 years of age
   • Have a valid identity proof and bank account
   • Agree to promote Experiana Trails ethically and lawfully
   • Not be involved in fraudulent or misleading practices

4. Ambassador Obligations

As an Ambassador, you agree to:
   • Promote Experiana Trails trips honestly and with genuine intent.
   • Avoid misleading, exaggerated, false, or deceptive claims.
   • Not impersonate Experiana Trails or claim to represent the Company officially.
   • Not spam, harass, or pressure individuals to book trips.
   • Not use paid ads, trademark bidding, or misleading domains unless explicitly permitted.
   • Comply with all brand, content, and communication guidelines issued by the Company.

5. Referral & Tracking Mechanism

Each Ambassador is issued a unique referral code or link.

A referral is considered valid only if:
   • the traveller uses the Ambassador's code/link,
   • completes payment,
   • and successfully completes the trip.

Tracking is done through Experiana Trails' internal systems, which shall be final and binding.

6. Commission Structure

Commission percentages are displayed on the Ambassador dashboard and may include:
   • Direct Referral Commission
   • Indirect Referral Commission
   • Royalty Pool incentives (if applicable)

Commission rates may vary by product, destination, or campaign.

The Company reserves the right to modify commission structures with prior notice.

7. Payments & Payouts

Commissions are payable ONLY after the referred trip is successfully completed.

No commission shall be payable for:
   • upcoming trips,
   • cancelled bookings,
   • refunded bookings,
   • no-show travellers,
   • partially completed trips.

If a booking is cancelled or refunded for any reason, the corresponding commission shall stand cancelled.

Payouts are processed after internal verification by Experiana Trails.

Earnings are first reflected in the Ambassador dashboard/wallet before payout.

Ambassadors must ensure accurate bank details. The Company is not responsible for delays due to incorrect information.

Experiana Trails reserves the right to withhold, delay or reverse payouts in cases of:
   • suspected fraud,
   • policy violations,
   • chargebacks,
   • disputes,
   • misuse of the program.

8. Ranks, Rewards & Benefits

Ambassador ranks (Seeker, Pathmaker, Wayfinder, Trailmaster, Highborne, etc.) are governed by eligibility criteria displayed on the platform.

Rank upgrades are performance-based and subject to verification.

Free trips, milestone rewards, or bonuses:
   • are non-transferable,
   • non-redeemable for cash,
   • subject to availability and internal approval.

Rewards may be modified, paused, or withdrawn at the Company's discretion.

9. Royalty Pool (If Applicable)

The Royalty Pool is a discretionary incentive for top-performing Ambassadors.

Eligibility criteria and distribution logic are defined by the Company.

Inclusion in the Royalty Pool is not guaranteed and may vary month to month.

10. Prohibited Activities

Ambassadors shall NOT:
   • Engage in pyramid schemes or misrepresent the program as MLM.
   • Guarantee income or earnings to others.
   • Use Experiana Trails branding without permission.
   • Post fake reviews or manipulate bookings.
   • Refer themselves or create fake bookings.

Violation may lead to immediate termination and forfeiture of earnings.

11. Suspension & Termination

Experiana Trails reserves the right to:

Suspend or terminate an Ambassador account without prior notice if:
   • Terms are violated,
   • Fraud or abuse is detected,
   • Misrepresentation occurs.

Termination may result in:
   • loss of pending commissions,
   • revocation of rewards,
   • permanent disqualification.

12. Taxation

Ambassadors are solely responsible for:
   • income tax,
   • GST (if applicable),
   • any other statutory liabilities.

The Company may deduct TDS if required under Indian law.

13. Intellectual Property

All trademarks, logos, content, itineraries, and materials belong exclusively to Experiana Trails.

Ambassadors receive a limited, revocable license to use approved materials for promotion only.

Unauthorized use is strictly prohibited.

14. Limitation of Liability

Experiana Trails shall not be liable for:
   • indirect or consequential losses,
   • loss of expected income,
   • technical tracking errors beyond reasonable control.

Total liability shall not exceed the commission actually earned by the Ambassador.

15. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Courts of Jaipur, Rajasthan shall have exclusive jurisdiction.

16. Amendments

Experiana Trails reserves the right to modify these Terms at any time. Continued participation after updates constitutes acceptance.
